By installing, accessing, or using SpicyMagic ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

2. Description of Service

SpicyMagic provides geo-targeted URL management and personalization services for Shopify stores. The Service allows merchants to:

  • Create personalized product experiences based on visitor location
  • Generate unique URLs for marketing campaigns
  • Track and analyze visitor engagement
  • Manage product visibility based on geographic rules

3. Account Responsibilities

As a user of our Service, you agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access
  • Comply with Shopify's Terms of Service and Acceptable Use Policy

4. Acceptable Use Policy

You agree NOT to use SpicyMagic to:

  • Violate any laws, regulations, or third-party rights
  • Promote or sell illegal, counterfeit, or prohibited products
  • Engage in fraudulent, deceptive, or misleading practices
  • Circumvent or violate platform policies
  • Harm, deceive, or mislead consumers
  • Distribute malware, viruses, or harmful code
  • Attempt to reverse engineer or hack the Service
  • Resell or redistribute the Service without authorization

5. Billing and Payments

5.1 Subscription Plans

  • Billing is processed through Shopify's billing system
  • All plans are billed monthly in advance
  • Usage limits reset at the beginning of each billing period
  • Prices are subject to change with 30 days notice

5.2 Upgrades and Downgrades

  • Plan upgrades take effect immediately with prorated billing
  • Plan downgrades take effect at the next billing cycle
  • Unused credits do not roll over between billing periods

5.3 Refunds

Refunds are handled according to Shopify's app billing policies. We do not offer refunds for partial month usage.

6. Service Availability

  • We strive for 99.9% uptime but do not guarantee uninterrupted service
  • Scheduled maintenance will be announced in advance when possible
  • We are not liable for downtime caused by third-party services
  • Service features and functionality may change over time

7. Intellectual Property

7.1 Your Content

  • You retain all rights to your store data and content
  • You grant us a license to use your content solely to provide the Service
  • We will not sell or share your content with third parties

7.2 Our Property

  • The Service, including all code and systems, remains our property
  • You may not copy, modify, or create derivative works
  • Our trademarks and branding may not be used without permission

8. Privacy and Data Protection

Your use of our Service is also governed by our Privacy Policy. By using SpicyMagic, you consent to our data practices as described in the Privacy Policy.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are not liable for any indirect, incidental, or consequential damages
  • We are not liable for lost profits, revenue, or business opportunities
  • We are not liable for service interruptions or data loss
  • Our maximum liability is limited to the amount paid in the last 12 months

10. Indemnification

You agree to indemnify and hold harmless SpicyMagic, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your violation of these Terms
  • Your violation of any laws or regulations
  • Your use of the Service
  • Any content you submit or actions you take

11. Termination

11.1 By You

You may terminate your account at any time by uninstalling the app from your Shopify store.

11.2 By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • We receive valid legal complaints about your use
  • We discontinue the Service (with 30 days notice)

11.3 Effect of Termination

  • Access to the Service will cease immediately
  • We may delete your data after 30 days
  • You remain liable for any outstanding charges

12. Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

  1. Good faith negotiation between parties
  2. Mediation if negotiation fails
  3. Binding arbitration as a last resort

13. Changes to Terms

We may modify these Terms at any time. Changes will be effective upon:

  • Posting of revised Terms on this page
  • Email notification for material changes
  • Your continued use constitutes acceptance

14. Governing Law

These Terms are governed by the laws of Delaware, United States, without regard to conflict of law principles.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SpicyMagic regarding the use of the Service.
